Summary
In plain English
You pay your subscription, you use Baslic to process your own receipts and the receipts your customers and employees give you. We provide the software, you stay responsible for the accounting decisions. We don't promise the AI is right 100% of the time — you still need to look at the numbers before you file them. Either side can leave with 30 days' notice.
The agreement
These Terms of Service (the "Terms") form a binding agreement between Fidanet Solution Oy ("Baslic", "we") and the person or legal entity that signs up for the Baslic service ("you", "Customer"). They cover your use of baslic.com, app.baslic.com, and any related mobile apps, APIs, integrations, and email-based services (together, the "Service").
By creating an account, ticking a box, or otherwise using the Service, you accept these Terms and the documents linked from them: the Privacy Policy, the Data Processing Agreement, and the current Sub-processors list.
If you are accepting these Terms on behalf of a company or other legal entity, you confirm that you have authority to bind that entity. "You" from then on refers both to you personally and to the entity.
Your account
You must be at least 18 and able to enter into a binding contract under Finnish law. You agree to provide accurate information when signing up and to keep it current.
You are responsible for the security of your login credentials and for everything that happens under your account. Use a strong, unique password, turn on multi-factor authentication, and notify us at support@baslic.com immediately if you suspect unauthorised access.
Subscription and billing
Plans and fees
Subscription plans, included quotas, and prices are listed on the Pricing page. The plan you select at checkout, together with these Terms, forms your "Order". We may add new plans, change features within a plan, or adjust prices for future billing periods on at least 30 days' notice — your current period continues at the price you paid.
Billing cycle
Subscriptions renew automatically at the end of each monthly or annual period until cancelled. We will charge the payment method on file at the start of each cycle. Payments are processed in euros (EUR) unless otherwise stated.
VAT and taxes
Prices are shown exclusive of value-added tax. We add Finnish VAT where required. If you are a VAT-registered business in another EU member state, supply your valid VAT ID at checkout and we will apply the reverse-charge mechanism.
Late payment and suspension
If a payment fails, we will retry over the following 14 days and email you. If payment is still outstanding after that, we may suspend the Service and, after a further 30 days, terminate the account and delete the content. Reasonable reactivation fees may apply.
Refunds
Subscription fees are non-refundable, except where required by mandatory consumer-protection law in your jurisdiction or where we explicitly agree in writing.
Free trial
We offer a 14-day free trial on paid plans, without requiring a payment method. If you choose to add a payment method during the trial, we will only charge you after the trial period ends, and only if you have not cancelled. We may modify or end the free trial programme at any time.
Your content
You retain all ownership of the receipts, invoices, travel-expense entries, files, and other content you submit to the Service ("Customer Content").
You grant Baslic a worldwide, royalty-free, non-exclusive licence to host, copy, transmit, process, and display Customer Content solely as needed to provide and improve the Service, to comply with the law, and to enforce these Terms. The licence ends when you delete the content or your account, subject to short technical retention windows (typically 30 days) for backup and disaster recovery.
You represent that you have the rights necessary to submit the Customer Content for processing, including any necessary rights to third-party personal data appearing on receipts and invoices.
Acceptable use
You agree not to:
- Use the Service to violate any law or the rights of others.
- Submit content that is unlawful, defamatory, obscene, or that infringes intellectual-property or privacy rights.
- Attempt to gain unauthorised access to the Service, other accounts, or our infrastructure.
- Probe, scan, or test the vulnerability of the Service without our prior written consent (we welcome responsible disclosure — write to security@baslic.com).
- Use the Service to train competing AI models or to build a substantially similar service.
- Reverse-engineer, decompile, or attempt to extract source code, except to the extent permitted by mandatory law.
- Send the Service unsolicited bulk email or use it to facilitate spam, phishing, or fraud.
- Misuse our resources in a way that materially degrades the Service for others.
AI output and accuracy
Baslic uses artificial-intelligence models to extract line items from your receipts, classify VAT, and translate your natural-language instructions to Timo into structured accounting entries. AI output is probabilistic. We work hard to make it accurate — per-line extraction, two-engine cross-checks, deterministic rule overlays — but we cannot guarantee zero errors.
You remain responsible for reviewing the output before relying on it for tax filings, financial statements, or any other consequential decision. The Service is a tool that helps you do your accounting; it is not a substitute for your professional judgement or for the advice of a qualified accountant or auditor.
Availability and support
We target an internal uptime goal of 99.5% over each calendar month for the production Service, excluding scheduled maintenance announced at least 48 hours in advance and circumstances beyond our reasonable control. This target is an internal goal, not a contractual service-level agreement in v1 of these Terms. Business Pro and Accountant Orders may include a contractual SLA where expressly specified in the Order; in that case the Order prevails.
Support is provided in English and Finnish during Finnish business hours (Mon–Fri, 09:00–17:00 EET / EEST). Our response targets are:
- Business Pro and Accountant — within 4 business hours.
- Solo Pro — within 1 business day.
- Free — within 2 business days.
These targets are aspirational, not contractual guarantees. We escalate critical security or data-integrity issues immediately regardless of tier.
Third-party services
The Service may integrate with third-party tools — your bank feed, your accounting software, your email provider. Your use of those tools is governed by their own terms. We are not responsible for the availability or content of third-party services, and we may add or remove integrations as relationships and standards evolve.
Intellectual property
The Service, including its software, design, brand, and documentation, is owned by Baslic and protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription, in accordance with these Terms.
Feedback you choose to send us about the Service is given freely, and we may use it to improve the Service without obligation to you. We will not attribute feedback to you publicly without your permission.
Confidentiality
Each party agrees to protect the other's confidential information with the same care it uses for its own (and no less than reasonable care), and to use it only as needed to perform this agreement. Confidential information does not include information that becomes public without breach of this clause, was already known without confidentiality obligations, or was independently developed.
Termination
You may cancel at any time from your account settings; the subscription will end at the end of the current billing period and you will retain access until then.
We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay after the notice period, or use the Service in a way that exposes us or others to significant risk. We will give you 30 days' notice for terminations for convenience, except in cases of serious abuse.
On termination you can export your Customer Content for 60 days through the Service's self-service tools. After that period, we delete Customer Content within 30 days, except where retention is required by Finnish bookkeeping law (currently six years from the end of the accounting period). Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will produce accurate results in every case.
Mandatory consumer-protection rights under Finnish or EU law are not affected by this clause.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, business interruption, or substitute-service costs, even if advised of the possibility of such damages.
The total aggregate liability of each party arising out of or related to these Terms is limited to the amounts you paid Baslic for the Service in the 12 months preceding the event giving rise to the claim.
The exclusions and limitations in this section do not apply to: (a) breaches of confidentiality, (b) infringement of the other party's intellectual property, (c) a party's indemnity obligations, (d) fraud, gross negligence, or wilful misconduct, or (e) any liability that cannot be excluded under applicable law.
Indemnity
You will indemnify and hold harmless Baslic against third-party claims arising from (a) Customer Content, including claims that it infringes intellectual-property or privacy rights, and (b) your use of the Service in violation of these Terms or applicable law.
We will indemnify and hold you harmless against third-party claims that your authorised use of the Service infringes a third party's intellectual-property right, subject to your prompt notice, our control of the defence, and your reasonable cooperation.
Governing law and disputes
These Terms are governed by the laws of Finland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
The District Court of Helsinki (Helsingin käräjäoikeus) has exclusive jurisdiction over disputes arising out of or in connection with these Terms. A Customer who is a consumer retains the right to bring proceedings before the courts of their place of residence.
Changes to these Terms
We may update these Terms from time to time. For material changes — including changes to fees, the scope of the licence, liability, or governing law — we will notify you by email and through an in-app banner at least 30 days before the change takes effect. Continuing to use the Service after the effective date means you accept the updated Terms; if you do not accept them, you may cancel before the date.
